BETWEENTHE MUSEUM OF FINE ARTS AND
DANIEL SMITH
THIS AGREEMENT is made and entered into on this 2nd day of July, 2012 through June 30, 2013 by and between Daniel Smith (hereinafter referred to as the "Contractor"), and the Museum of Fine Arts located at ¬¬¬¬¬¬¬¬¬¬¬¬¬¬¬¬¬_____________________ (hereinafter referred to as "Museum").
WHEREAS, Contractor represents that Contractor is skilled in the obligations and responsibilities as described in Exhibit A (hereinafter referred to as the "Work"); and
WHEREAS, the Museum is desirous of engaging Contractor to create the work described in Exhibit A; and
WHEREAS, Contractor and Museum intend that Museum shall own the Work and all copyrights, intellectual property rights, and proprietary rights in the Work;
NOW, THEREFORE, in consideration of the mutual promises contained herein, each party hereto agrees as follows:
1. Contractor shall create the Work in accordance with the description and specifications set forth in Exhibit A.
2. Contractor agrees that all works of authorship produced by Contractor in connection with fulfilling its duties under this Agreement (including but not limited to planning, concepts, layouts, production, creation, or revisions of or related to the Work) are works made for hire within the meaning of 17 U.S.C., § 101 of the Copyright Act. Contractor agrees that the Museum shall be the sole owner of all of the tangible embodiments of any works of authorship created by Contractor under this Agreement as well as all rights of copyright and all intellectual property rights in such works of authorship. The Museum shall have the exclusive and irrevocable right to exploit such works of authorship and all elements thereof. If any works of authorship created by Contractor in the performance of this Agreement do not qualify as works made for hire under 17 U.S.C. § 101, Contractor shall grant and does hereby grant to Museum ownership of all of the tangible embodiments of any works of authorship created under this Agreement as well as all rights of copyright and all intellectual property rights in such works of authorship. Upon Museum's written request, Contractor agrees to execute all assignments or other writings or documents required to vest ownership of such works of authorship in Museum, including but not limited to confirmatory assignment documents.
3. Contractor represents and warrants that: (a) Contractor is or will be the sole author of the Work unless Museum expressly agrees otherwise in writing; (b) Contractor has made no commitments with others with respect to the Work or use of the Work; (c) the Work is original and does not infringe upon any statutory or common law copyright, trademark, right of privacy or publicity, or other proprietary right of any person or
entity; (d) the Work has not heretofore been published or used in any medium for any purpose; and (e) the Work does not constitute libelous, obscene, or unlawful matter.
4. Contractor shall indemnify, defend, and hold Museum harmless from any and all loss, damage, costs, and expenses (including reasonable attorneys' fees) that Museum may suffer or incur by reason of, related to, arising from, or otherwise concerning any claim or defense of any claim by reason of, arising from, related to, or otherwise concerning the breach or alleged breach of any of Contractor's representations or warranties.
5. Contractor shall complete the Work and deliver the Work to Museum on or before the scheduled dates as set forth in the attached schedule, hereinafter referred to as Exhibit B, time being of the essence. Exhibit B shall be revised at such times as needed to accommodate for additional schedules and needs of the Recovery Project.
6. Museum agrees to pay Contractor in accordance with Exhibit C after final acceptance by Museum of the Work. Museum shall have sole discretion to reject or accept the Work.
7. XXXX will retain the final payment of said contract as set forth on Exhibit C until all contractual obligations of the CLOSE OF OPERATIONS are met by the YYYY Team and contractor in accordance with contractual obligations of the CLOSE OF OPERATIONS, herein referred to as Exhibit D.
8. Contractor shall make such changes in the Work as requested by Museum. Museum shall have the right to edit or otherwise change the Work.
9. The Museum is under no obligation to publish the Work or otherwise apply the Work to any specific purpose.
10. Contractor hereby agrees that Museum may use Contractor's name, photograph, or other likeness in connection with the advertisement and promotion of the Work or any adaptation or versions thereof.
11. It is the intention of the parties that Contractor be an independent contractor and not an employee, agent, joint venturer, or partner of the Museum. Nothing in this Agreement shall be interpreted or construed as creating or establishing a relationship of employer and employee between the Museum and either Contractor or any employee, contractor, or agent of Contractor. Contractor shall not represent or attempt to represent itself, directly or by implication, as an agent of the Museum or in any manner assume or create, or attempt to assume or create, any obligation on behalf of, or in the name of, the Museum.
12. If any provision of this Agreement is unenforceable or void, then both parties shall be relieved of all obligations arising under such provision, but only to the extent that such provision is unenforceable or void, it being the intent and agreement of the parties that this Agreement shall be deemed amended by modifying such provision to the extent necessary to make it legal and enforceable while preserving its intent or, if that is not possible, by substituting for it another provision that is legal and enforceable and achieves the same result or objective.
13. No delay or omission by either party hereto to exercise any right or power occurring upon any default by the other party with respect to any of the terms of this Agreement shall impair any such right or power or be construed to be a waiver thereof. A waiver by either of the parties hereto of any of the covenants, conditions, or agreements to be performed by the other shall not be construed to be a waiver of any succeeding breach thereof or of any covenant, condition or agreement herein contained.
14. This Agreement and all disputes in any way related to, arising under, in connection with, concerning, by reason of, or incident to this Agreement shall be governed and construed by and under the laws of the State of ZZZZ (excluding ZZZZ' conflict of law rules which would refer to and apply the substantive laws of another jurisdiction). Any suit or proceeding hereunder shall be brought only in AAAA County, State of ZZZZ, and each of the parties hereto consent to the personal jurisdiction of the courts located therein.
15. Contractor shall not assign its obligations under this Agreement without the express written consent of the Museum; provided, however, that any assignment shall not in any case relieve Contractor of its obligations hereunder. This Agreement shall enure to the benefit of the Museum, its successors and assigns.
IN WITNESS WHEREOF, the parties have executed this Agreement as of the day and year first above written.

Translation - Spanish ACUERDO DE CONTRATISTA INDEPENDIENTE ENTRE EL MUSEO DE BELLAS ARTES Y DANIEL SMITH
El presente Acuerdo se celebra y otorga el día 2 de julio de 2012, hasta el 30 de junio de 2013, entre Daniel Smith (de aquí en adelante “el Contratista”) y el Museo de Bellas Artes, situado en _____________ (de aquí en adelante “el Museo”).
CONSIDERANDO: que el Contratista está familiarizado con las obligaciones y responsabilidades que se detallan en el Documento A (de aquí en adelante la “Obra”);
CONSIDERANDO: que el Museo desea contratar al Contratista para crear la obra que se describe en el Documento A;
CONSIDERANDO: que el Contratista y el Museo tienen la intención de que el Museo posea la Obra y todos los derechos de autor (“copyright”), los derechos de propiedad intelectual y los derechos de propietario sobre la Obra;
POR LO TANTO, en consideración de las promesas mutuas contenidas en el presente, cada parte se compromete a lo siguiente:
1. El Contratista creará la Obra conforme a la descripción y a las especificaciones establecidas en el Documento A.
2. El Contratista está de acuerdo en que todas las obras de autoría del Contratista producidas por el Contratista en relación con el cumplimiento de sus obligaciones derivadas de este Acuerdo (incluyendo, de manera enunciativa más no limitativa, la planificación, los conceptos, los diseños, la producción, la creación o las revisiones de la Obra o relativas a la Obra) son obras hechas para ser arrendadas, conforme al significado del Artículo 17 del Código de Estados Unidos, § 101 de la Ley de Derechos de Autor (“Copyright”). El Contratista está de acuerdo en que el Museo será el único propietario de todas las manifestaciones tangibles de obras protegidas por derechos de autor (“copyright”) creadas por el Contratista conforme a este Acuerdo, así como de todos los derechos de autor y todos los derechos de propiedad intelectual relativos a dichas obras protegidas por derechos de autor. El Museo tendrá derecho exclusivo e irrevocable a explotar dichas obras protegidas por derechos de autor y todos los elementos de la misma. En caso de que cualquiera de las obras protegidas por derechos de autor creadas por el Contratista en cumplimiento con este Acuerdo no posea el carácter de obra para arrendamiento conforme al Artículo 17, § 101, del Código de Estados Unidos, el Contratista otorgará –y por el presente otorga- al Museo la propiedad de todas las manifestaciones tangibles de obras protegidas por derechos de autor creadas conforme a este Acuerdo, así como todos los derechos de autor y todos los derechos de propiedad intelectual relativos a dichas obras protegidas por derechos de autor . A solicitud escrita del Museo, el Contratista acuerda otorgar todas las cesiones u otros escritos o documentos que se requieran para ceder la propiedad de dichas obras de autoría al Museo, incluidos, con carácter enunciativo, mas no restrictivo, los correspondientes documentos confirmatorios de cesión.
3. El Contratista afirma y garantiza lo siguiente: a) el Contratista es o será el único autor de la Obra, a menos que el Museo expresamente acuerde lo contrario por escrito; b) el Contratista no ha asumido ningún compromiso ante terceros respecto a la Obra o el uso de la Obra; c) la Obra es original y no infringe ningún derecho de autor, marca comercial, derecho de privacidad o publicidad del derecho estatutario o del common law, ni otros derechos de propietario de ninguna persona o entidad; d) hasta el momento la obra no ha sido publicada ni utilizada en ningún medio con ningún propósito; e) la Obra no constituye material difamatorio, obsceno o ilegal.
4. El Contratista deberá indemnizar al Museo contra toda pérdida, daño, costos y gastos (incluidos los honorarios razonables de abogado) que el Museo pueda sufrir o en que pueda incurrir en razón de, relacionados con, procedentes de, o de otra forma conectados con cualquier reclamación u oposición a una reclamación en razón de, procedente de, o de otra forma relacionadas con la violación o supuesta violación de cualquiera de las declaraciones o garantías del Contratista.
5. El Contratista deberá completar la Obra y entregar la Obra al Museo en las fechas indicadas en el programa adjunto, o antes (de aquí en adelante, el Documento B) siendo el tiempo una consideración esencial. El Documento B será revisado tantas veces como sea necesario, a los efectos de adaptarlo a programas y necesidades adicionales del Proyecto de Recuperación.
6. El Museo acuerda pagar al Contratista conforme al Documento C, tras la aceptación final de la Obra por parte del Museo. El Museo podrá aceptar o rechazar la Obra, a su sola discreción.
7. XXXX retendrá el pago final de dicho contrato, según se establece en el Documento C, hasta que el Equipo de YYYY y el contratista cumplan todas las obligaciones contractuales del CIERRE DE LAS OPERACIONES (Documento D de este contrato).
8. El Contratista hará en la Obra los cambios solicitados por el Museo. El Museo tendrá derecho a editar o de otra forma cambiar la Obra.
9. El Museo no tiene obligación de publicar la Obra o de otra forma aplicar la Obra a ningún fin específico.
10. Por el presente el Contratista acepta que el Museo utilice el nombre, la fotografía y otros elementos por el estilo pertenecientes al Contratista en relación con el anuncio y la promoción de la Obra o cualesquiera adaptaciones o versiones de la misma.
11. Es la intención de las partes que el Contratista sea un Contratista independiente, y no un empleado, agente, integrante de una empresa conjunta o socio del Museo. Ninguna de las disposiciones contenidas en este Contrato crea o establece una relación de empleado y empleador entre el Museo y el Contratista, o entre el Museo y cualquier empleado, contratista o agente del Contratista, y por lo tanto no deberá interpretarse que lo hace. El Contratista no representará ni procurará representarse a sí mismo, directa o implícitamente, como agente del Museo, ni de ninguna forma asumirá o creará, ni procurará asumir o crear, ninguna obligación en nombre o en representación del Museo.
12. Si cualquiera de las disposiciones de este Contrato resultara inaplicable o nula, ambas partes serán liberadas de las obligaciones que surjan de dicha disposición, pero sólo en la medida en que dicha disposición sea inaplicable o nula; las partes acuerdan que será su intención que este Contrato se considere enmendado al modificar dicha disposición en la medida necesaria para hacerlo legal y aplicable, preservándose al mismo tiempo su intención, ó, si ello no fuera posible, reemplazándola por otra disposición que sea legal y aplicable y que logre el mismo resultado u objetivo.
13. Ninguna demora u omisión de parte de cualquiera de las partes del presente Contrato en ejercer cualquier derecho o facultad que surja como resultado del incumplimiento de la otra parte con cualquiera de los términos de este Acuerdo afectará dicho derecho o dicha facultad, ni deberá interpretarse como una renuncia a dicho derecho o dicha facultad. La renuncia de cualquiera de las partes del presente a reclamar cualquiera de los pactos, condiciones o acuerdos a ser cumplidos por la otra parte no deberá interpretarse como una renuncia a reclamar cualquier violación posterior de ellos, ni a ningún acto, condición o acuerdo contenidos en el presente.
14. Este Acuerdo y todos los conflictos que estén de alguna forma relacionados con, surjan en razón de o sean incidentales a este Acuerdo se regirán e interpretarán conforme a las leyes del Estado de ZZZZ (con exclusión de las normas del conflicto entre leyes de ZZZZ, que se regirían por las leyes sustantivas de otra jurisdicción). Todas las acciones judiciales que surjan en virtud de este Acuerdo se presentarán únicamente en el Condado de AAAA, Estado de ZZZZ, y cada una de las partes da su consentimiento a la jurisdicción personal de los tribunales allí situados.
15. El Contratista no deberá transferir sus obligaciones conforme a este Acuerdo sin el consentimiento expreso por escrito del Museo, disponiéndose siempre, sin embargo, que ninguna transferencia eximirá en ningún caso al Contratista de sus obligaciones en virtud de este Acuerdo. Este Acuerdo redundará en beneficio del Museo, sus sucesores y cesionarios.
EN TESTIMONIO DE LO CUAL, las partes otorgan este Acuerdo en el día y el año antes mencionados.

I am a professional translator, with a degree in legal translation awarded by the Universidad de la República del Uruguay [Uruguay's Law School] in 1996. I have ample translation and proof-reading experience in diverse types of fields, with a specialization in legal and financial/business documents.
I have worked for the largest software manufacturing company in the world since 2004. In this capacity, I have translated (literally) thousands of legal, financial, banking software and commercial documents, managing teams of up to 12 translators in huge translation projects.
I have been a translator of the Uruguayan Army Headquarters -and for almost two decades the only one- since 1993. As such, I became specialized in the translation of United Nations and military documents, among them peacekeeping guidelines and mandates, mission reports, situation reports, UN General Assembly resolutions, UN evaluation reports, military rules of engagement, tables of organization and equipment, military manuals, operational orders, minutes of regional and international conferences, letters, notes, etc.
I have worked almost uninterruptedly for the Office of Language Services of the First Church of Christ, Scientist in Boston, Massachusetts since 2003. In this capacity, I translate on a regular basis articles and documents concerning the activities of the church.
Since 2015 I have been one of the translators of the largest law firm of Uruguay.
Most of my work has to do with translating from English to Spanish, and viceversa. However, having to spend -due to family reasons- several weeks of the year near the border with Brazil, I have come to fully understand texts written in Portuguese. As a result, in the last 7 years I have translated into Spanish and English hundreds of business, banking and financial documents written in Portuguese.
