I've got a table listing 3 different classes of stock held in an entity:

Ações ordinárias nominativas vinculadas
Ações ordinárias nominativas não vinculadas
Ações preferenciais nominativas

Now, my understanding is that "ações ordinárias nominativas" are common (voting) stock and "Ações preferenciais nominativas" are preferred stock.

Elsewhere in the document there is language to the effect that vinculadas/não vinculadas refers to whether or not the stock/stockholder is bound by the shareholders' agreement. My question is: is there an English-language term to refer to the class of stock not bound by the shareholders' agreement?

ações ordinárias nominativas I would translate this as common registered stock as the nominativas is in contra-distinction to ações ordinárias ao portador.

I did a search and did not find any specific term in En so I would go for this one.

I believe the context means the shares are not part of, are not included in the shareholders' agreement.
