Spanish to English Bus/Financial Law: Contract(s) IT Service Contract
Hello,

From an IT Service Contract between a group of Mexican companies and a multi-national IT Service Provider. The clause I’m currently on is about “Human Resources”, and the subclause is “Supplier Staff”

I just don’t get this last part. What “solicitud”? Do they mean the “ofertas de trabajo” do you think?
I also don’t really get the use of “mientras” here or what the point of this last part of the sentence is.

Your suggestions are welcome.

Context:

“Durante la vigencia de este Contrato y el Período de Asistencia a la Terminación, cada una de las partes no contratará o solicitará, directa o indirectamente, al personal de la otra Parte sin el previo consentimiento por escrito de la otra Parte. No obstante, durante el Período de Asistencia a la Terminación, el Cliente o el tercero que él designe, que no fuera competidor del Proveedor, podrá comenzar a entrevistar y entregar ofertas de trabajo al Personal para los Servicios (sin necesidad del consentimiento del Proveedor), previa notificación por escrito al Proveedor con quince (15) días de anticipación a dichas ofertas, mientras tal solicitud se lleve a cabo en el tiempo libre del Personal del Proveedor.”

This is a clause commonly called a 'non-solicitation clause'.

When the last sentence mentions 'solicitud', it is referring back to the beginning of the sentence "no contratará o solicitará'.

'Mientras' in this context I take to mean 'as long as', 'on the condition that', or 'on the proviso that'.

I think that because it is a non-solicitation clause, the word 'solicitation' needs to be in there.
What they're basically saying is that if one of the parties to the contract wants to hire staff currently employed by the other party, this must be done by way of prior notification and in the member of staff's free time (not during working hours).
