The Company shall indemnify the Director against all claims by third parties which may be made against him in connection with the Services, except such as he shall incur or sustain by or through his own negligence, default or breach of trust respectively. The Company shall indemnify the Director against any liability incurred by him in defending any proceedings, whether civil or criminal, in which judgment is given in his favour or in which he is acquitted or in connection with any application under section 378 of the Companies Act in which relief is granted to him by the court. The Director shall inform the Company of any such claim in respect of which an indemnity is sought under this Agreement.
