English to French Law/Patents Law: Contract(s) Intellectual Property Rights
4.5 Each Party acknowledges that /////all goodwill /////associated with the use of the Intellectual Property Rights of the other Party vests and shall vest in that other Party. Without prejudice to the foregoing, if any goodwill in relation to the Intellectual Property Rights of a party (the “Owning Party”) vests in the other Party, that other Party, immediately upon becoming aware of the vesting of such goodwill, shall take all such steps as are necessary to assign, or procure the assignment of, such goodwill to the Owning Party.

From a contract between a company and its partner re Intellectual Property Rights.

Unsure as to the meaning in this instance.
