"The Lender granted the Borrower an interest-bearing loan agreement in the total amount of XXXX. The Lender intends to acquire new shares in the Borrower's share capital. It has therefore been agreed as follows:
The Parties hereby terminate the interest-bearing loan agreement (Agreement).
Accordingly, the Lender has claim against the Borrower for repayment of the above mentioned loan granted (principal and interest due). The Borrower agrees to repay the amount to the Lender, however the Parties agree that the above receivable may be offset against the Borrower's receivable from the Lender for the acquisition of new shares in the Borrower's share capital by the Lender.
