Продавец дает заверение, что до подписания настоящего договора принадлежащая ему Доля никому другому не продана, не подарена, не заложена, не обременена правами третьих лиц, в споре и под арестом (запрещением) не состоит.

Стороны гарантируют, что в их отношении не возбуждено производство по делу о банкротстве, они не входят в группу лиц, определяемую по правилам пп. ф п.
1 ст. 23 ФЗ "О государственной регистрации юридических лиц и предпринимателей", заключение настоящего договора не нарушает прав третьих лиц.

Отчуждаемая Доля переходит к Покупателю с момента внесения соответствующей записи в Единый государственный реестр юридических лиц, одновременно к Покупателю переходят все права и обязанности участника Общества, возникшие до нотариального удостоверения настоящего договора, за исключением дополнительных прав и обязанностей, если такие имеются.

Стороны пришли к соглашению о том, что обязанность по уведомлению Общества об отчуждении Доли {1>возлагается на Покупателя.

The Parties represent and warrant that they are not under bankruptcy proceedings and do not belong to the group of persons determined by subparagraph “f” of paragraph
1 of Art. 23 of the Federal Law: “On the State Registration of Legal Entities and Entrepreneurs,” and that the conclusion of this agreement does not infringe the rights of third parties.

Title to the Share is transferred to the Buyer from the moment a relevant record is entered into the Unified State Register of Legal Entities. Simultaneously, the Buyer acquires all rights and obligations as a Company member, which took effect before notarization of this agreement, except for additional rights and obligations, if applicable.

The Parties hereby agree that the obligation of notifying the Company of the title transfer to the Share shall lie with the Buyer.

Under mutual agreement of the Parties, notary expenses related to this agreement shall be borne by the Buyer.
10.
Any disputes and arguments arising between the Parties on the issues, other than defined herein, shall be settled via negotiations in accordance with the applicable laws of the Russian Federation.
11.
The Parties hereby confirm that they fully understand the content of this agreement and that they do not enter into this agreement under the pressure of harsh circumstances on extremely unfavorable conditions for themselves, and that the terms and conditions of this deal are not onerous on the Parties.

Provisions of Art. 21 of the Federal Law “On Limited Liability Companies,” Art.9 of the Federal Law “On State Registration of Legal Entities and Entrepreneurs,” Art. 432, 434 and 454 of the RF Civil Code and Art. 34 and 35 of the RF Family Code were explained to the Parties by interim notary public and are clear to them.
Requirements of Art. 35 of the RF Family Code are complied with.

This agreement has been read aloud and is an entire agreement between the Parties in respect of its subject matter and cancels and invalidates all other commitment or representations that could have been taken upon or entered into by the Parties, oral and written, prior to the conclusion of this agreement.

Source text - Russian Государственным балансом полезных ископаемых РФ на территории Иркутской области (ИО) по состоянию на 01.01.2017 г. учтено 56 видов полезных ископаемых, слагающих 1079 месторождений. Из них 278 месторождений разрабатываются.
Основные виды сырья, которые добываются в области - это золото, углеводородное сырье, уголь, железная руда, каменная соль, цементный мрамор, гипс, облицовочный камень, тальк и другие. Кроме того, область располагает крупнейшим потенциалом гидроэнергоресурсов, а также богатым лесным фондом.
На территории ИО располагаются, в частности, гигантское Ковыктинское газоконденсатное месторождение и его спутник – Чиканское месторождение; крупнейшее в России месторождение рудного золота «Сухой Лог»; крупнейшее в мире Непское месторождение калийных солей. Ни одно из них пока не введено в промышленную эксплуатацию.
На территории ИО на 1 января 2018 г. открыто 40 нефтегазовых месторождений, на учет поставлено 38 нефтегазовых месторождений (даные of Trofimuk Institute of Petroleum Geology and Geophysics, Novosibirsk).
Суммарные извлекаемые запасы нефти и конденсата в области составляют 848 млн тонн (893 млн тонн в случае, если в 2018 г. будут поставлены на учет reserves of Gorazdinskoye and Vyatshinskoye fields, открытых в 2017 г. Иркутской нефтяной компанией).
В ИО обнаружены крупные запасы природного газа (более 5 трлн куб. м), включая гигантское Ковыктинское месторождение с запасами 2.7 трлн куб. м (вместе с его спутником – Чиканским месторождением).
ИО быстрыми темпами наращивает добычу нефти, рост в 2017 г. по сравнению с 2013 г. составил 62% (до 18.5 млн т). Нефть с Верхнечонского, Ярактинского, Даниловского, Дулисьминского и других месторождений поступает в трубопроводную систему ВСТО.
ИО располагает значительными запасами углей. Разведанные балансовые запасы угля (14.7 млрд т) представлены главным образом каменными углями (11.7 млрд т). Основная масса добываемого малосернистого угля используется в энергетике.
Угледобывающая промышленность области представлена в основном разрезами ООО «Компания «Востсибуголь» в Черемховском и Тулунском районах на юге области. Востсибуголь входит в состав АО «Евросибэнерго», который в свою очередь входит в En+ Group бизнесмена Олега Дерипаски. На разрезах Востсибуголь производится более 90% угля в ИО.
Уголь добывается открытым способом и в основном направляется на сжигание на ТЭС ПАО «Иркутскэнерго», которое также входит в Евросибэнерго. Объем экспорта угля в Китай оценивается в 2 млн т в год, при этом Востсибуголь ставит цель увеличить объем экспорта до 3.0-3.5 млн т в год.
Резкое снижение добычи угля произошло в ИО в 2014 г. (минус 23%), ввиду обвала цен на уголь на внешних и внутреннем рынке и снижения спроса.
Кроме рыночной конъюнктуры, объем добычи угля в ИО зависит от состояния гидрогенерации. Так, в 2015 г. уровень воды на Ангарском каскаде ГЭС снизился, из-за чего произошло сокращение гидрогенерации.
Соответственно, увеличились генерация на тепловых станциях и потребление угля. Как результат, в 2015 г. объем добычи угля в области составил 11.6 млн т, что выше уровня добычи 2014 г. более чем на 9%.
Уровень ежегодной добычи угля в ИО в период до 2030 г. оценивается МЭР в 13-15 млн т. В то же время, состояние сырьевой базы позволяет организовать ежегодную добычу в объеме до 50 млн т.
Однако МЭР рассматривает и вариант существенного снижения добычи угля. Снижение произойдет в случае принятия решения по масштабному переводу на использование природного газа тепловых станций юга ИО, которые ежегодно потребляют до 8 млн т угля.
Такой маневр снизит экологическую нагрузку на природу, но в то же время приведет к сокращению рабочих мест на угольных предприятиях и, возможно, повышению тарифов на энергоснабжение, поэтому у него есть как сторонники, так и противники в региональных органах власти.
Translation - English Status as of January 01, 2017, 56 kinds of natural resources found within 1,079 fields located in the Irkutsk region (IR) were included on the State Inventory of Natural Resources of the Russian Federation. 278 of these fields are under development.
Primary natural resources produced in the region include gold, raw hydrocarbons, coal, iron ore, rock salt, cement marble, gypsum, lining brick, talc, etc. In addition to that, the region has a huge hydropower potential and vast timber-rich forests.
Among other resources, the Irkutsk region accommodates a gigantic gas-condensate field, Kovykta, its satellite field, Chikanskoye, Russia’s largest gold ore deposit, Sukhoi Log, and the world’s largest Nepa deposit of potassium salts, but none of these deposits have so far been put into commercial operation.
Status as of January 1, 2018, 40 oil and gas fields were discovered in the Irkutsk region, 38 of which have been booked (data provided by the Trofimuk Institute of Petroleum Geology and Geophysics, Novosibirsk).
The region’s overall recoverable reserves of oil and condensate are estimated at 848 mln t (893 mln t if the reserves of the Gorazdinskoye and Vyatshinskoye fields, which were discovered by the Irkutsk Oil Company in 2017, are booked in 2018).
Irkutsk region has been found to contain major resources of natural gas (over 5 tcm), including the gigantic Kovykta field estimated to contain 2.7 tcm (together with its satellite field, Chikanskoye).
Irkutsk region is rapidly increasing its oil production, which equaled 18.5 mln t in 2017, up 62% from 2013. The oil produced from the Verkhnechonskoye, Yarakta, Danilovskoye, Dulisma and the region’s several other fields is supplied into the ESPO pipeline system.
Irkutsk region possesses considerable coal reserves. The region’s explored commercial reserves (14.7 bln t) are represented mostly by mineral coals (11.7 bln t). Most of the produced low-sulfur coal is used for electricity generation.
The region’s coal industry is basically limited to the open-pit mines developed by LLC Vostsibugol is the Cheremkhovo and Tulun districts in the region’s southern part. Vostsibugol is a business unit of JSC EuroSibEnergo, which, in turn, is part of En+ Group owned by Oleg Deripaska. Vostsibugol accounts for over 90% of Irkutsk region’s coal production.
Coal is produced from open-pit (surface) mines, and is mostly supplied as fuel to the thermal power plants of PJSC Irkutskenergo, which is also a business unit of EuroSibEnergo. Coal exports to China are currently estimated at 2 mln tpy, and Vostsibugol has set a target to increase them to 3.0-3.5 mln tpy.
In 2014, IR experienced a drastic fall of coal production (minus 23%) due to price plummet at both foreign and domestic markets and fall of demand.
Apart from market situation, IR’s coal production depends on the state of hydropower industry. For example, IR’s hydropower generation was down in 2015 due to a water level fall in the Angara HEPP chain, which was followed by an increase in the output of the region’s TPPs and hence coal consumption. As a result, the region’s coal production hit 11.6 mln t in 2015, up more than 9% from 2014.
MED estimates IR’s coal production until 2030 at 13-15 mln tpy. At the same time, the region’s available coal resource allow organizing annual production of up to 50 mln t.
MED, however, is also considering an option where coal production will be considerably reduced in the region. This will occur if decision is made on a sweeping transition to natural gas of the thermal power plants located in the region’s southern areas, which currently consume up to 8 mln tpy of coal.
While reducing environmental impact, this would detrimentally impact employment situation at the region’s coal enterprises and might push up electricity rates, which is why the idea has both proponents and opponents in the regional governing structures.
