et ce "Upon" dans "Upon the termination of this Agreement"; y a t il une formule adaptée spécifique?

XX shall be entitled (but not obliged) to repurchase from the Dealer all or part of any stocks of the Products then held by the Dealer at the Dealer�s invoice value or the value at which the Products stand in the books of the Dealer, whichever is lower. This only pertains to new XX products purchased within 12 month before the effective date of the termination. If the termination of this Agreement is declared for cause of XX, XX shall be obliged to repurchase those stocks of the Products at the Dealer�s invoice value less all discounts granted, that are new, undamaged, originally packed and were diligently stored, always provided that the Products are no excess stocks. In any case, the price to be paid by XX shall be the afore-said amount less a handling fee of 10�%;

Pour la première partie (Upon...), il faudrait avoir le reste du paragraphe, termination peut avoir plusieurs significations et la traduction de ce terme est toujours délicate.

Si XXX prend la décision de mettre fin à cet accord (ou contrat)

On pourrait en effet utiliser résilier . Quant à upon the termination il pourrait s'agir du titre de la clause puisqu'il y a deux points. A savoir : RESILIATION OU FIN DE L'ACCORD

WITHOUT NOTICE FOR CAUSE, à la fin de votre paragraphe = SANS QU'IL SOIT BESOIN DE LE JUSTIFIER...peut-être. Quant à UPON...votre titre, je garderais ce que j'ai mentionné, à savoir RESILIATION OU FIN DE CONTRAT.
