Source text - English As parcerias público-privadas são regidas pela Lei Federal nº 11.079/2004 a qual prevê entre seus mecanismos a flexibilidade no processo licitatório, ao permitir a abertura das propostas técnicas antes da habilitação (art. 12, inciso I e art. 13), o emprego de mecanismo privado de resolução de disputa durante a execução contratual (art. 11, inciso III), a possibilidade de os agentes
financeiros assumirem o controle da Sociedade de Propósito Específico (SPE), em caso de inadimplemento dos contratos de financiamento (art. 9º, § 5º), a conveniência e oportunidade da contratação como PPP, a repartição dos riscos entre as partes (pública e privada), inclusive os referentes a caso fortuito, força maior, fato do príncipe e álea econômica extraordinária (art. 5º, inciso III), o fornecimento de garantias de execução pelo parceiro público (art. 5º, inciso VIII) e o compartilhamento com a Administração Pública dos ganhos econômicos efetivos do parceiro privado, decorrentes da redução dos riscos de crédito dos financiamentos.
Translation - Portuguese The public-private partnership policy is regulated by Brazilian federal act no. 11.079/2004 that sets flexibilities on bidding process, by permitting the opening of technical bids before eligibility stage (article 12, line I and article 13), the use of private mechanisms to resolve conflicts of interest during the contract execution (article 11, line III), the possibility of financial agents take over the Special Purpose Entity (SPE) in case of default in loan contracts (article 9, Section 5°), convenience and opportunity for PPP contract, sharing of risks between public and private sides, including fortuitous event, event of force majeure, factum principis and extraordinary economic risk (article 5, line III), and sharing private partner’s effective profits with the public Administration, as a result of risk reduction of credit for loans.
