Letter from the chairman
I am pleased to invite you to join us at XX’s 97th Annual General Meeting on 1May 2007. This year the meeting is being held at the ExCel Centre in London Docklands and will start a little later than usual at 11.30 a.m.
The Annual General Meeting (AGM) is an important occasion for us as we reflect on XX’s performance last year and opportunities for the future. XX’s performance in the past year has been strong, with record results. 2006 was, however, a demanding year. The group’s performance is described in the reports sent to you, which I hope will provide answers to many of the questions you may have about the company. You can obtain any of our other current reports on request (see pages 3-4).
We constantly endeavour to improve our shareholder engagement and XX’s AGM practice continues to evolve to support this. All our resolutions are voted on by way of a poll, so even those who can’t attend the meeting can still vote and express their views. All our directors now offer themselves for re-election annually to ensure they have your continued support. While this results in a larger number of resolutions, we believe it is important for you to have your say.
We have also responded to your comments and adopted a new running order for consideration of resolutions at the meeting. We will also endeavour to describe more clearly the way in which the poll procedure is conducted on the day.
The notice of meeting can seem a touch technical, given its legal status. So this year we have prepared it in a way that we hope gives you a better understanding of what to expect at ExCel.
The AGM will provide an opportunity for you to raise questions on the business set out in the notice and on any issues you have about the governance and business of the company. To that end, as chairman, I will try to keep discussions relevant and focused.
As always, we are concerned to ensure everyone’s safety and security at the meeting. May I therefore draw your attention to the information under the heading ‘Security’ on page 9 of this document.
Your participation is equally important even if you cannot be with us. With a shareholder base comprising a large number of people in a wide range of places, the practical reality for many of our shareholders is that our engagement is primarily through the information we make available to you and your votes on the various resolutions that are before the meeting.

What is the business of the meeting?
For you as a XX shareholder (including our ADS holders), the AGM is an opportunity to put your ownership into action. XX holds the AGM following the close of every financial year in order to conduct certain formal business, to address the governance of your company and give consideration to its strategic progress. The formal resolutions that must be put to the meeting are detailed in the pages that follow.

J’ai le plaisir de vous inviter à nous rejoindre à la 97ème assemblée générale ordinaire de XX qui aura lieu le 1er mai 2007. Cette année, l’assemblée se tiendra au centre d’exposition ExCel dans le quartier des Docklands, dans l’est de Londres, et elle débutera à 11h30, heure locale, soit un peu plus tard que l’heure de commencement habituelle.
L’assemblée générale ordinaire (AGO) représente une occasion importante pour notre société de se pencher sur sa solide performance enregistrée au cours de l’année passée, performance inégalée si on la compare à celles des années précédentes. Nous savons pourtant combien l’année 2006 a été difficile. L’assemblée a également pour but d’étudier les perspectives qui pourraient s’offrir à notre société à l’avenir. Les résultats du groupe sont présentés dans les rapports qui vous ont été envoyés et qui, je l’espère, apporteront des réponses à un grand nombre de questions que vous pourriez avoir concernant la société. Vous pouvez aussi obtenir un exemplaire de nos autres rapports actuels sur simple demande (voir pages 3 à 4).
Nous nous efforçons sans cesse de favoriser la participation de nos actionnaires et le mode de fonctionnement de l’assemblée générale de XX continue d’évoluer en faveur de ce soutien. D’une part, toutes nos résolutions sont en effet soumises à un vote élaboré sous forme de scrutin, afin que les actionnaires étant dans l’impossibilité d’assister à l’assemblée puissent voter dans tous les cas et faire part de leur opinion. D’autre part, l’ensemble des administrateurs se représentent désormais chaque année pour leur réélection, afin qu’ils puissent s’assurer de votre soutien permanent, et, bien que cette procédure aboutit à maintes résolutions, nous estimons qu’il est important que vous puissiez vous exprimer.
Par ailleurs, nous avons réagi à vos commentaires et avons adopté un nouvel ordre de discussion des résolutions pour l’assemblée générale. Nous nous appliquerons également à vous expliquer plus clairement la façon dont la procédure de vote fonctionnera lors de l’assemblée.
L'avis de convocation peut paraître quelque peu technique, étant donnée sa valeur légale, mais cette année, nous l’avons préparé dans le but de vous donner une meilleure idée de la manière dont se déroulera l’assemblée au centre d’exposition ExCel.
Cette assemblée générale ordinaire vous permettra de poser des questions relatives au programme de la société présenté dans le présent avis et concernant toute question que vous pourriez avoir concernant la gouvernance et les activités de la société. Votre participation est tout aussi importante, même si vous ne pouvez pas assister physiquement à l’assemblée générale. En outre, puisqu’une grande partie de nos actionnaires se situent à des points géographiques très différents, bon nombre d’entre eux bénéficient de notre concrète contribution grâce, essentiellement, aux informations que nous mettons à leur disposition et à la facilité d’exprimer leur vote sur les différentes résolutions soumises à l’assemblée.
Enfin, au nom du conseil d’administration, j’aimerais profiter de cette occasion pour vous remercier de votre contribution permanente.

Housing subsidy is one of the Government’s main tools for intervening in the housing market. Housing subsidy in Britain, in common with other European welfare states, has been aimed at encouraging the production or consumption of housing for targeted groups. It has in general been a tool of government to create a housing system in Britain that aims to offer quality and access to all households, by making housing more affordable than it would otherwise be.
Quality housing has an associated cost which is, of course, exacerbated by the additional and varying cost associated with location. Access is limited by ability to pay. Therefore the government intervenes through housing subsidy aimed at bridging the gap between aspirations for quality housing and a household’s ability to fund access to it.
Housing subsidy - context
Housing subsidies in Britain operate across all tenures. Capital grants and allowances (that allow for borrowing in the private sector) fund the provision of social housing , Housing Benefit provides broader access to the social and private rented sector, and until relatively recently owner-occupation was subsidised by tax relief on mortgage interest payments. Such subsidies can be distinguished as those supply-side subsidies to organisations that provide for the building, maintenance and management of homes (which are referred to throughout as ‘building subsidies’), and those directed at individuals (referred to as ‘personal subsidies’).
Building subsidies to housing organisations assume a need to increase the supply of housing through development, and are therefore a supply-side subsidy. Subsidies to individuals do not increase housing supply; such subsidies are demand-side and are intended to assist households to access housing that already exists but which they cannot afford to access, and therefore increase their effective demand for it.
The Conservative Government that came to power in 1979 and remained until 1997 marked a shift away from public sector solutions to housing problems, in favour of the private sector. Conservative housing policy promoted owner occupation, most radically in giving council tenants the ‘Right to Buy’ their properties at large discounts. Owner occupation continued to be promoted over the 1980s and 1990s as a tenure offering choice and independence from state interference. Although owner occupation was not available to all households, support for it signalled an underlying belief in choice, market solutions and the failure of the public sector.
In a context of economic recession, the Conservative Government of 1979 introduced an economic policy that diverged sharply from the Keynesian investment-driven economic policies of previous administrations, and introduced monetary control as the main tool of economic management.
The consequence of this policy was a prolonged period of under-investment in the nation’s existing social housing stock. The condition of council housing declined as repairs and maintenance work was reduced, leaving a severe backlog of unmet need and the requirement for enormous additional investment. It could be argued that this continued the increasing stigmatisation of social housing, away from a tenure of choice, to a poor quality solution for those who could not fulfil a home-owning aspiration.

Le coût qu’un logement de qualité engendre dépend en outre, bien évidemment, du coût supplémentaire et variable déterminé par le lieu du logement. Au sein de ces subventions on distingue les primes relatives à l’offre destinées aux organisations qui permettent la construction, l’entretien et la gestion des logements (désignées dans tout ce rapport sous l’expression « primes à la construction »), et les aides attribuées aux particuliers (appelées « aides personnalisées »).
Les primes à la construction versées aux organisations gérantes des logements répondent aux besoins d’accroître l’offre en matière de logement par le développement, et correspondent donc à des subventions relatives à l’offre. En revanche, les aides aux particuliers n’augmentent pas l’offre de logements, de telles subventions sont favorables à la demande et ont pour but d’aider les ménages à accéder aux logements déjà existants mais qu’ils ne peuvent pas financer ; ces subventions stimulent ainsi la demande effective en matière de logement.
Le gouvernement conservateur britannique qui a accédé au pouvoir en 1979 et y est resté jusqu’en 1997 s’est écarté des solutions du secteur public aux problèmes de logement pour se rapprocher du secteur privé. En effet, la politique du logement du parti conservateur a encouragé l’occupation des logements par leurs propriétaires, l’exemple le plus radical ayant été le droit accordé aux council tenants d’acheter leur logement (Right to Buy) à des prix considérablement réduits. Ce concept a continué d’être promu au cours des années 1980 et 1990, car il représentait un mode d’occupation offrant le choix et l’indépendance vis-à-vis de l’État. Bien que ce type de location ne fût pas disponible pour tous les ménages, son soutien par le gouvernement indiquait qu’il existait une conviction latente des citoyens en matière de choix, des solutions de marchés et les lacunes du secteur public.
Dans un contexte de récession économique, le gouvernement conservateur de 1979 a instauré une politique économique qui s’éloignait nettement des politiques économiques keynésiennes déterminées par les investissements des gouvernements précédents ; il s’agissait de la politique du contrôle monétaire et elle représentait l’instrument majeur de gestion économique.

Par conséquent, l’état des logements sociaux s’est dégradé à mesure que les réparations et les travaux d’entretien se faisaient plus rares, ce qui a conduit à une grave accumulation de besoins non satisfaits et à des exigences lourdes en matière d’investissements complémentaires. On pourrait soutenir que cette politique a perpétué la stigmatisation croissante des logements sociaux, restant bien loin d’un mode d’occupation choisi, pour laisser une solution de qualité déplorable à ceux dans l’impossibilité de satisfaire leurs aspirations en termes de propriété.

I, Alexandra Bobko, have acquired a specific linguistic and cultural knowledge while studying for my Master's Degree at the Sorbonne University in Paris, said to be the best university for languages in France.
I have then benefited from a solid professional experience while working for blue-chip companies in France, in Germany and in the UK. I therefore decided to embark in a translation career and obtained my Master of Arts (MA) in Bilingual Translation at the University of Westminster with a Merit.
Since then, I have experienced doing countless translations for large organisations, and I have lead many translation projects, constantly optimising my linguistic, translation and project management skills. Also, after having practised my German for years on the private side, my level in this language has often been compared to a native level by German native speakers. Finally, after taking proofreading tests along with 20 other people, I have been asserted by Credit Suisse of having an outstanding eye for detail, I can therefore proofread in a highly accurate manner.
Alongside my translation career as a freelancer, I have gained an unrivalled legal translation experience while working as a Certified Translator for an Immigration and Human Rights law firm in Central London as well as for a few other blue-chip companies like MAN in Germany and Coca-Cola Enterprises in the UK.
I now continue my career in the business, financial and legal translation industries as a Member of the Chartered Institute of Linguists (MCIL), as a Qualified Member of the Institute of Translation & Interpreting (MITI) and as a Full Member of the Bundesverband der Dolmetscher und Übersetzer (BDÜ).
