Source text - English SUPPORT SERVICES AGREEMENT
THIS Support Services Agreement (hereinafter referred to as “SSA”), made and entered into on January 27th, 2014 by and between MOTO, a corporation duly organized and existing under the laws of the Federative Republic of Brazil and having its head office at Av. Interna 20, Nova Veneza, Sumaré, São Paulo, Zip Code: 13.176-102 (hereinafter referred to as "HDA Parts & Service") and MOTOR, a corporation duly organized and existing under the laws of Chile and having its principal place of business at Av. Del Parque 700, Huechuraba Santiago, Chile, ZIP code 8580644 (hereinafter referred to as “HMDC”);
WITNESSETH:
(a) WHEREAS HMDC wishes to receive from time to time certain support services in the parts and accessories field as described in Exhibits I and II herein (hereinafter the “Services”), and HDA Parts & Service is willing to render such Services as per HMDC’s previous request;
(b) WHEREAS HDA Parts & Service represents and warrants that it has the necessary expertise and knowledge to provide the Services to HMDC.
NOW THEREFORE, in consideration for the mutual covenants herein set forth, the parties hereby agree to enter into this Support Services Agreement Concerning Spare Parts (the "SSA") pursuant to the following terms and conditions:
1. Retention of Services: HMDC hereby retains HDA Parts & Service to provide the Services, and HDA Parts & Service hereby agrees to provide such Services.
2. Services. During the term hereof, HDA Parts & Service will provide HMDC the Services that HMDC shall reasonably request and HDA Parts & Service is reasonably capable of providing to support HMDC in the conduct of its activities described above. The precise scope of the Services and the manner in which they will be provided will vary with the needs of HMDC from time to time and will be determined and coordinated in greater detail through telephonic and other meetings to be held periodically amongst the appropriate representatives of the parties.
3. The employees and other personnel that HDA Parts & Service (hereinafter referred to as “Employees”) may use for rendering the Services shall be considered sole employees of HDA Parts & Service. Such Employees shall have no relationship of any kind with HMDC other than employees of an independent party. HDA Parts & Service agrees to comply with all applicable laws and regulations applicable to such Employees and personnel and shall keep HMDC indemnified against any damages arising from a breach of such regulations and/or any claim made by such Employees against HMDC.

Contrato de Prestação de Serviços de Suporte (doravante denominado “CPSS”), firmado em 27 de janeiro de 2014 entre MOTO, sociedade devidamente organizada e existente de acordo com as leis da República Federativa do Brasil, com sede na Av. Interna, nº 20, Nova Veneza, Sumaré/SP, CEP 13.176-102 (doravante denominada simplesmente “HDA Parts & Service”) e MOTOR, sociedade devidamente organizada e existente de acordo com as leis do Chile, com sede na Av. Del Parque, nº 700, Huechuraba, Santiago, Chile, CEP 8580644 (doravante denominada simplesmente “HMDC”);
DECLARAM QUE:
(a) CONSIDERANDO que a HMDC pretende receber periodicamente serviços de suporte no segmento de peças e acessórios conforme descritos nos Anexos I e II (doravante denominados “Serviços”), e a HDA Parts & Service está disposta a prestar estes serviços conforme solicitação prévia da HMDC;
(b) CONSIDERANDO que a HDA Parts & Service declara e garante que possui expertise e conhecimento necessários para fornecer os serviços à HMDC.
ASSIM SENDO, decidem as partes, de comum acordo, firmar o presente Contrato de Prestação de Serviços de Suporte referente a Peças de Reposição (“CPSS”), conforme os termos e condições a seguir:
1. Serviços de Manutenção A HMDC, através do presente instrumento, contrata a HDA Parts & Service para fornecer os Serviços, e a HDA Parts & Service desde já se compromete em fornecê-los.
2. Serviços. Durante a vigência do presente contrato, a HDA Parts & Service fornecerá os Serviços que a HMDC justificadamente solicitar e que a HDA Parts & Service for devidamente capaz de fornecer, para apoiar a HMDC na condução das atividades descritas acima. O escopo exato dos Serviços e a forma como serão prestados poderá variar periodicamente de acordo com as necessidades da HMDC, e serão determinados e coordenados detalhadamente através de contato telefônico e reuniões a serem realizadas regularmente entre os representantes das partes.
3. Os empregados e demais funcionários que a HDA Parts & Service (doravante denominados como “Empregados”) utilizar na realização dos Serviços serão considerados empregados exclusivos da HDA Parts & Service. Os Empregados não terão qualquer tipo de relação com a HMDC senão a de empregados de uma parte independente. A HDA Parts & Service concorda em cumprir com todas as leis e regulamentações aplicáveis aos Empregados e funcionários, e deverá indenizar a HMDC contra quaisquer danos oriundos do descumprimento de tais regulamentações e/ou qualquer reclamação realizada pelos Empregados contra a HMDC.

Source text - English This Intellectual Property Sale Agreement (the “Agreement” or this “Intellectual Property Sale Agreement”) is made and effective as of [DATE] (the “Effective Date”) by and between [NAME OF INTELLECTUAL PROPERTY SELLER], a [STATE] corporation, with a place of business at [ADDRESS] (individually and collectively referred to as the “Assignor”) and [NAME OF INTELLECTUAL PROPERTY BUYER], a [STATE] corporation, with a place of business at [ADDRESS] (the “Assignee”). The Assignor and the Assignee may be referred to individually as a “Party” or collectively as the “Parties.”
WHEREAS:
1. The Assignor desires to assign and transfer to the Assignee all of its right, title, and interest in and to the “Intellectual Property” (as such term is defined in this Agreement below); and
2. The Assignee desires to acquire all of the Assignor’s right, title, and interest in and to the Intellectual Property; and
3. Each Party is duly authorized and capable of entering into this Agreement.
NOW, THEREFORE, in consideration of the mutual covenants and premises set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:
1. ASSIGNMENT OF INTELLECTUAL PROPERTY.
1. Effective as of the Effective Date, the Assignor sells, transfers, conveys, assigns, and delivers to the Assignee, and the Assignee accepts and assumes all right, title, and interest of the Assignor in and to the following:
1. the intellectual property specified in Exhibit A hereto;
2. all precursors, portions, and works in progress with respect thereto and all inventions, works of authorship, mask works, technology, information, know-how, materials, and tools relating thereto or to the development, support, or maintenance thereof;
3. all copyrights, patent rights, trade secret rights, trademark rights, mask works rights, and all other intellectual property rights and all business, contract rights, and goodwill in, incorporated, or embodied in, used to develop, or related to any of the foregoing; and
4. any registrations and applications for registrations of the foregoing (1.a.i, 1.a.ii, 1.a.iii and 1.a.iv shall be referred to herein collectively as the “Intellectual Property”).
2. CONSIDERATION.
i. As consideration for the assignment of the Intellectual Property and the Assignor’s representations and warranties, the Assignee promises to commercially exploit the Intellectual Property and to pay future royalties to Assignor in an amount equal to five percent (5%) of any and all revenues received by Assignee related to exploitation of the Intellectual Property up to a maximum aggregate royalty payout by Assignee to Assignor of [$] USD (the “Total Royalty Obligation”). Such royalty payments will be paid to Assignor on a semi-annual basis based on total revenues related to Assignee’s commercial exploitation of the Intellectual Property. For the avoidance of doubt, revenues related to the Intellectual Property shall mean any Assignee revenue related to.
ii. Assignee may make payments toward the Total Royalty Obligation from other sums at any time.
Translation - Portuguese O presente Contrato de Compra e Venda de Propriedade Intelectual (“Contrato” ou “Contrato de Compra e Venda de Propriedade Intelectual”) é firmado e tem início de vigência em [DATA] (“Início da Vigência”), entre [NOME DO VENDEDOR DA PROPRIEDADE INTELECTUAL], uma sociedade do [ESTADO], com sede na [ENDEREÇO] (individualmente ou coletivamente denominado “Cedente”), e [NOME DO COMPRADOR DA PROPRIEDADE INTELECTUAL], uma sociedade do [ESTADO], com sede na [ENDEREÇO] (“Cessionário”). ASSIM SENDO, considerando os compromissos mútuos aqui estabelecidos, e mediante outras boas e valiosas contraprestações, cujo recebimento e suficiência são aqui reconhecidos, decidem as partes o que segue:
1. DA CESSÃO DE DIREITOS DE PROPRIEDADE INTELECTUAL.
1. A partir do Início da Vigência, o Cedente vende, cede e transfere ao Cessionário, e o Cessionário aceita e assume todos os direitos, títulos e interesses do Cedente, conforme discriminado a seguir:
1. a propriedade intelectual especificada no Anexo I;
2. todos os trabalhos anteriores, partes de trabalhos e trabalhos em andamento, bem como todas as invenções, obras intelectuais, novas criações, tecnologias, informações, know-how, materiais e ferramentas aqui relacionadas ou para desenvolvimento, suporte ou manutenção destas;
3. todos os direitos autorais, direitos à patente, direitos de segredo comercial, direitos de marca comercial, direitos sobre novas criações e quaisquer outros direitos de propriedade intelectual, e todos os negócios, direitos contratuais e fundos de comércio incorporados, utilizados para desenvolver ou relacionados a quaisquer dos itens anteriores; e
4. quaisquer registros ou pedidos de registro dos itens anteriores (1.a.i, 1.a.ii, 1.a.iii e 1.a.iv serão referidos coletivamente como “Propriedade Intelectual”).
2. DO PREÇO.
i. Como contraprestação à cessão de direitos de Propriedade Intelectual e às declarações e garantias do Cedente, o Cessionário se compromete a explorar comercialmente a Propriedade Intelectual e a pagar royalties futuros ao Cedente no montante igual a 5% (cinco por cento) de todo faturamento do Cessionário relacionado à exploração da Propriedade Intelectual, até o pagamento máximo acumulado de royalty pelo Cessionário ao Cedente no importe de US$ [$] (“Obrigação de Pagamento Integral de Royalty”). Tais pagamentos de royalty deverão ser realizados ao Cedente semestralmente, baseados no faturamento total relativo à exploração comercial da Propriedade Intelectual pelo Cedente. Para que não haja dúvidas, faturamento relacionado à Propriedade Intelectual se refere a qualquer receita do Cessionário a ela relacionadas.
ii. O Cessionário poderá fazer pagamentos relativos à Obrigação de Pagamento Integral do Royalty em outra quantia a qualquer tempo.
