It is not required to make any deduction for or on account of Tax from any payment it may make under any Finance Document other than interest payments made by the Borrower under this Agreement to a Lender qualifying as a foreign beneficiary (as defined in Argentine Income Tax Law No. 20,628, as restated and further amended (the “ITL”)), which are subject to Argentine income tax withholding at the rate of (A) 15.05% if such Lender is an Eligible Bank (“Eligible Bank” being a banking or financial institution that meets the requirements of Article 93(c) of the ITL and, thus, is located: (i) in a jurisdiction not considered of zero or low taxation according to the ITL and its implementing regulations, or (ii) in a jurisdiction which has executed exchange of information treaties with Argentina and, as a result of the application of its internal regulations, cannot allege bank, stock exchange, or any other kind of secrecy, in response to a request of information from the relevant tax authority. In both cases (i) and (ii), the financial institutions are those under supervision of the respective central bank or equivalent authority); (B) the rate applicable in accordance with a tax treaty for the avoidance of double taxation if the Lender is (i) resident in a country that has such a tax treaty in force with Argentina, and (ii) entitled to claim for itself the application of such tax treaty for interest payments and delivers to the Borrower the documentation required by Argentine tax regulations in order to claim the applicability of such tax treaty; provided that such rate is lower than the one established under the general provisions of the ITL; or (C) 35% in all other cases. | Translation - Spanish
No se requiere hacer ninguna deducción por o a cuenta de Impuestos de ningún pago que pueda hacerse bajo cualquier Documento Financiero aparte de los pagos de interés hechos por el Prestatario bajo este Acuerdo a un Prestamista calificando como beneficiario extranjero (como se define en la Ley Argentina de Impuesto a las Ganancias Nº 20628 reformulada y posteriormente corregida (el “ITL”)) que esta sujeto a la retención del impuesto a las ganancias Argentino a la tasa de (A) 15.05% si dicho Prestamista es un Banco Apto (siendo “Banco Apto” una institución bancaria o financiera que cumple con los requisitos del Articulo 93(c) del ITL y, así esta radicada: (i) en una jurisdicción no considerada de tributación nula o baja de acuerdo con el ITL y sus reglamentos, o (ii)en una jurisdicción que ha celebrado tratados de intercambio de información con Argentina y, como resultado de la aplicación de sus reglamentos internos, no puede alegar secreto bancario, bursátil u otra clase de secreto en respuesta a una solicitud de información de la relevante autoridad impositiva. En ambos casos (i) y (ii), las instituciones financieras son aquellas bajo supervisión del respectivo banco central o autoridad equivalente); (B) la tasa aplicable de acuerdo con un tratado impositivo para evitar la doble imposición si el Prestamista es (i) residente en un país que tiene tal tratado impositivo en vigencia con Argentina, y (ii) con derecho a reclamar por si mismo la aplicación de tal tratado impositivo por pago de intereses y proporciona al Prestatario la documentación requerida por las leyes impositivas Argentinas para reclamar la aplicabilidad de tal tratado impositivo; a condición de que dicha tasa sea inferior a la establecida bajo las disposiciones generales del ITL; o (C) 35% en todos los otros casos. |
